These Terms of Service govern your access to and use of Halvern, including the website and SaaS application.

Halvern is operated by an individual sole proprietor (not a corporation), Ali Toman. If your organization purchases access, additional terms may be set in an order form, invoice, or other written agreement. Those written commercial terms control where they conflict with these Terms.
By accessing or using Halvern, you agree to these Terms of Service.
If you do not agree to these Terms, do not use the service.
Halvern is a SaaS web application provided by Ali Toman.
You may use the Halvern website only for lawful business purposes related to evaluating the product, requesting access, communicating with Halvern, or administering an existing relationship with us.
You agree not to misuse the service, attempt unauthorized access, upload malware, interfere with security, reverse engineer the platform except where legally permitted, or use Halvern to violate law or third-party rights.
Access to Halvern may be provided through a pilot, trial, direct activation, paid subscription, or another arrangement approved by Halvern.
You are responsible for using the product only through authorized accounts, maintaining the confidentiality of login credentials, and ensuring that users within your organization comply with these terms and any additional customer-specific agreements.
You must notify us immediately at hello@halvern.com if you suspect unauthorized account access.
Any scope, usage limits, invoicing terms, and support commitments may be described in separate written documents, including an order form or invoice.
Fees are charged as described on the pricing page and any applicable order form or invoice.
For new subscriptions, refunds are available within 30 days of the first charge unless otherwise required by law or agreed in writing.

As between Halvern and the customer, the customer retains ownership of its documents, prompts, workspace content, and other materials submitted to the service.
You represent and warrant that you have the rights, permissions, and authority necessary to upload, share, and authorize the processing of customer content through Halvern.
You grant Halvern a limited license to host, process, transmit, index, transform, and display customer content only as needed to provide, secure, and support the service and comply with law.
Halvern may modify, improve, suspend, or discontinue parts of the website or service from time to time, including to preserve security, comply with law, respond to misuse, or evolve the product.
To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free performance.
To the maximum extent permitted by law, Halvern will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.
To the maximum extent permitted by law, Halvern's total aggregate liability for claims related to the service will not exceed the greater of: (a) amounts paid by you to Halvern in the 12 months before the event giving rise to liability, or (b) USD 100.
You agree to defend, indemnify, and hold harmless Halvern and its operator from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the service, or your violation of these Terms or applicable law.
These Terms are governed by the laws of Iraq, excluding conflict-of-law rules. Any dispute not subject to arbitration must be brought exclusively in the courts located in Baghdad, Iraq.
If legally enforceable in your jurisdiction, disputes will be resolved by binding individual arbitration, and you and Halvern waive any right to participate in a class action or class arbitration.

These Terms are effective as of April 29, 2026. We may update them by posting a revised version on this page. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
For pilot billing details, invoice timing, activation conditions, and refunds, review our Payment & Refund Policy at /en/payment-policy (or /ar/payment-policy). If any provision is held unenforceable, the remaining provisions remain in effect.
These Terms, together with any applicable written order form or invoice terms, form the entire agreement regarding your use of the service.
